Role
We are looking for an experienced Legal M&A Counsel to join our SaaS Legal team. You will lead the legal stream for our M&A transactions across Europe together with the SaaS General Counsel. You will work closely with the SaaS General Counsel and collaborate with colleagues in M&A, PMI, tax, and finance on a daily basis. You will be supported by a Junior Legal M&A Counsel, for whose further development you will be responsible.
Key Responsibilities
- Lead the legal stream for the group’s M&A transactions (share and asset deals) end-to-end
- Draft and negotiate transactional contracts (SPAs, SHAs, APAs, management agreements, earnout agreements, …)
- Coordinate legal due diligence processes
- Drive process optimisations together with the M&A, tax, and finance teams
- Manage and coordinate internal and external legal advice on transactional matters
