Role

We are looking for an experienced Legal M&A Counsel to join our SaaS Legal team. You will lead the legal stream for our M&A transactions across Europe together with the SaaS General Counsel. You will work closely with the SaaS General Counsel and collaborate with colleagues in M&A, PMI, tax, and finance on a daily basis. You will be supported by a Junior Legal M&A Counsel, for whose further development you will be responsible.

Key Responsibilities

Lead the legal stream for the group’s M&A transactions (share and asset deals) end-to-end
Draft and negotiate transactional contracts (SPAs, SHAs, APAs, management agreements, earnout agreements, …)
Coordinate legal due diligence processes
Drive process optimisations together with the M&A, tax, and finance teams
Manage and coordinate internal and external legal advice on transactional matters

Requirements

Education & Professional Background

Law degree from a recognized institution

Minimum 5+ years of M&A legal experience

Qualified lawyer

Technical Skills

Solid background in M&A and experience with leading legal M&A processes

Self-driven, proactive, and collaborative working style

Analytical and pragmatic mindset

Strong organisational and prioritisation skills

Ambition to take full responsibility for all transactional matters within the group

Language Requirements

Fluent in English (working language) + at least one other European language

Core Competencies

Ability to work independently while collaborating effectively across teams

Commercial mindset with understanding of business operations

Proactive approach to problem-solving and risk management

Excellent stakeholder management and relationship-building skills

Strong attention to detail and organizational capabilities
