For our impactful M&A team at the Azerion Headquarter in Amsterdam, we are looking for an M&A Associate.

About The Team

The M&A team is primarily responsible for managing the full acquisition pipeline from initial scouting to completion and integration. Additionally, the team is responsible for occasional divestments and other special business projects. The core team consists of M&A specialists, a finance specialist, and two dedicated legal counsel and reports directly to the Vice President M&A of Azerion.

What You Will Be Doing In This Role

As an M&A Associate you will be responsible for managing and coordinating the whole acquisition process, primarily during the execution phase (i.e. due diligence phase). In close collaboration with the Vice President M&A, you execute M&A transactions in support of the overall Corporate Strategy. You own a transaction from A to Z, know every aspect of it, and are the first point of contact for all stakeholders. You are steering a project-based transaction team and jointly create valuation models, analyses, and reports that enable management to take informed decisions.

Your Responsibilities

  • Plan, coordinate, and drive due diligence processes, including data collection and analysis.
  • Engage M&A team, internal business experts, and external advisory teams to steer project-based transaction & due diligence teams.
  • Prioritize and assign tasks to ensure that the available resources are used effectively to meet work schedules and targets.
  • Filter and prioritize due diligence findings, take appropriate actions, and advise management on the best course of action to achieve optimal deal. Integrate key due diligence findings into transaction structure, valuation, and deal tactics.
  • Pre-negotiate deal points – business, financial, legal. Prepare management for final negotiation.
  • Conduct financial modeling, synergy, and valuation analyses.
  • Prepare investment memos and reports for management and supervisory board.

Ideal candidate

  • University degree in Business, Accounting, Finance, Economics or related field.
  • 2 - 4 years hands-on M&A experience in a large corporate M&A team, leading investment bank, M&A transaction services, or family office.
  • Experience in leading (day-to-day) deal execution.
  • Broad understanding of markets, companies, business models in advertising technology, online entertainment, and online gaming sector.
  • All-round understanding of – and experience with – various, cross-disciplinary items of an M&A deal, including valuation, finance, legal, tax, commercial / business.
  • Exceptional communication, analysis, investigation, and negotiation skills.
  • Strong analytical and financial modeling skills as well as ability to interpret results and apply findings.
  • Keen sense of business value, risk exposure, and opportunity potential.
  • Ability to prioritize and balance speed, cost, and quality.
  • Knows how to play the M&A game.
  • Develops negotiating tactics in collaboration with management to achieve the best possible outcome.
  • High proficiency with Office Suite, analytics tools, and valuation methodologies.
  • Ability to summarize, document, and present complex findings to management.
  • A dynamic, proactive, highly flexible attitude. Curious individual, committed to teamwork.
  • Impeccable English (multiple languages are a huge plus, Dutch not required).
