Legal Counsel

About the Role

Prothya is looking for an experienced and business-oriented Legal Counsel to join our organization. In this role, you will be responsible for leading and safeguarding corporate, commercial, governance, and compliance-related legal activities across Prothya and its international group entities.

As a trusted legal Counsel, you will provide strategic and pragmatic legal guidance to leadership teams and stakeholders across the organization. You will independently manage complex legal matters, drive legal standardization and governance initiatives, and contribute to key business decisions, risk management, and the continued professionalization of legal and compliance processes.

Key Responsibilities

Corporate & Commercial Legal Support

• Lead complex corporate and commercial legal matters across Prothya and its international entities.
• Draft, review, negotiate, and manage a wide range of commercial agreements with significant operational and financial impact.
• Provide practical, risk-based legal advice to business stakeholders and leadership teams.
• Identify, assess, and mitigate contractual, operational, and regulatory risks.
• Support strategic business initiatives, partnerships, and organizational changes from a legal and governance perspective.

Legal Compliance & Governance

• Develop, implement, and continuously improve legal governance frameworks, policies, and compliance standards.
• Ensure legal processes and contractual standards are aligned across international entities.
• Monitor legal and regulatory developments and translate them into practical business requirements.
• Promote and embed legal and ethical standards throughout the organization.
• Act as the escalation point for complex legal and compliance-related matters.

Contract Management & Standardization

• Own and standardize legal contracting frameworks, templates, and governance standards.
• Drive improvements and harmonization of contract management processes across the organization.
• Ensure legal documentation remains aligned with changing business and regulatory requirements.
• Support scalable and efficient contracting processes across international entities.

Business Partnership & Stakeholder Management

• Serve as a trusted legal advisor to business stakeholders and site leadership teams.
• Deliver strategic, pragmatic, and commercially focused legal advice.
• Facilitate cross-functional alignment on legal, governance, and compliance matters.
• Balance legal requirements with operational and commercial priorities.
• Challenge and influence stakeholders on legal risk and governance decisions.

Innovation & Process Improvement

• Lead legal process optimization initiatives and the implementation of AI-supported legal solutions.
• Identify opportunities to improve efficiency, standardization, and effectiveness within legal workflows.
• Contribute to the modernization and continuous improvement of the legal function.

Risk Management & Dispute Support

• Manage legal risks, claims, and disputes where required.
• Coordinate with external legal counsel when appropriate.
• Support legal analyses, documentation, and strategic matters.
• Provide independent legal risk assessments and recommendations to leadership.

Compliance, Quality & Safety

• Ensure all legal activities are performed in accordance with company policies, ethics, and compliance standards.
• Promote awareness of legal and compliance obligations across the organization.
• Take GxP requirements into account during legal activities and follow mandatory GxP training requirements.
• Follow all applicable Environmental, Health & Safety (EHS) procedures and contribute to a proactive safety culture.

What You Bring

• Master's degree in Law.
• 5–8 years of relevant legal experience gained in private practice and/or an in-house legal environment.
• Proven experience in corporate and commercial law.
• Strong experience drafting, reviewing, and negotiating commercial contracts.
• Experience working in an international and business-oriented environment is preferred.
• Experience with employment law is considered an advantage.

What We Offer

• A fulltime employment of 40 hours per week
• A salary between € 5.290,02 - € 8.935,13
• A budget of 16,66% (holiday allowance and year-end bonus) of your gross salary, yours to spend or to save monthly
